Terms of Use

The Ross House Office Centre (“RHOC”) website and any associated booking and / or payment application or functionality (collectively the “Website”) is owned and / or controlled and / or licensed by Equity Holdings Unlimited Company (“Equity Holdings”, “we”, “us”, “our”) or our servants and agents. Equity Holdings is incorporated in Ireland under company number 31500. The registered address of Equity Holdings is Ross House, Merchants Road, Galway, County Galway H91 FPK5, Ireland.

The following terms and conditions apply to all visitors or users of the Website and / or the RHOC. By accessing and using the Website, such user accepts these Terms and Conditions. We reserve the right to seek all remedies available by law and equity for any violation of these Terms and Conditions.

Disclaimer

The Website contains general information only and, although we endeavour to ensure that the content is accurate and up to date, no representation or warranty, express or implied, is made as to its accuracy or completeness and therefore the information on the Website should not be relied upon. Users should therefore take appropriate action to verify such information. We disclaim liability for any loss or damage, howsoever caused, arising directly or indirectly, from reliance on the information on the Website or otherwise. Equity Holdings expressly disclaims any liability in connection with any third-party websites that are accessible through the Website and does not endorse or recommend the contents of any such sites.

All content included, such as, text, graphics, logos, button icons, images, audio clips and software on the Website ("Content") is our property or the property of our suppliers and/or licensors (and is protected by applicable copyright and/or other intellectual property laws.

All trademarks displayed on the Website are our trademarks or those of a third-party owner. Nothing contained on the Website should be construed as granting any license or right of use of any trademark displayed on the Website without the express written permission of Equity Holdings (where such trademark belongs to us) or the relevant third-party owner.

You must not modify, copy, reproduce, republish, frame, upload to a third party, post, transmit or distribute this Content in any way except as expressly provided for on the Website or expressly authorised in writing by Equity Holdings or such other party, where relevant.

Links to the Website may not be included in any other website without our prior written permission.

Bookings

The booking party (the “Booking Party”), meaning any party (including a Member, as hereinafter defined, wherever appearing herein) that books a meeting room or office space and / or car park space(s) from Equity Holdings or uses other services or facilities (including Membership Services, as hereinafter defined, wherever appearing herein) as may be provided on the Website (individually or collectively, the “Services”) of Equity Holdings, shall when making a booking, provide Equity Holdings with written relevant details of their name(s) and contact details (including address(s), vehicle registration number(s), telephone number(s), mobile telephone number(s) and email address(s)) and/ or that for any non-booking party (meaning any party using the Services as booked by the Booking Party) (the “Non-Booking Party”).

Upon a booking being made by the Booking Party, whether for use by the Booking Party alone, or for use by the Booking Party and /or any Non-Booking Party and / or their respective invitees, the Booking Party shall be solely liable for any and all charges payable for the Services to Equity Holdings.

The Services are subject to the Terms and Conditions.

The Services must be used in conjunction with the use permitted by or on behalf of RHOC.

Equity Holdings or its service provider will confirm or issue a written receipt for any such Services, upon request or otherwise.

Equity Holdings or its service provider may issue instructions for designation of use at the time of booking of any relevant Services.

Charges

The charges for the Services shall be in accordance with Equity Holding’s published prices (and VAT) and / or rates (and VAT) (the “Published Prices and Rates”) at the time such booking is made and the date such other Services are booked or otherwise utilised. 

Cancellation

The booking of any Services may only be cancelled by us, following a written request from the Booking Party.

In the event of a cancellation of Services, the Booking Party will be liable to pay the following charge(s):

  • In the event that the cancellation is notified to Equity Holdings by more than 28 days notice, there will be no charge to the Booking Party.

  • If the cancellation is notified to Equity Holdings by more than 7 days but less than or equal to 28 days, a sum equivalent to 50% of the charge for the period and type of Services so cancelled.

  • If the cancellation is notified to Equity Holdings by 7 days or less, a sum equivalent to 100% of the charge for the period and type of Services so cancelled.

Any cancellation(s) must be notified to Equity Holdings in writing and will only be effective on the date such notice is received by Equity Holdings (or the next working day if the notice is received on a day that Equity Holdings is otherwise closed for business).

Payment of Account 

Services will be paid for at the time of booking, save for the relevant Membership Services for a Member (as hereinafter defined).

Hours of Use 

RHOC is generally available for use (subject to availability and booking) from 08:30 to 23:30, seven days per week for Members (and for licencees that have entered into a written Licence with Equity Holdings (a “Licensee(s)”)), but with restricted hours for any other party that is not a Member or Licensee.

Other periods may be agreed with Equity Holdings in writing in advance.

Membership

RHOC enables different forms of membership privileges and Services when a person or party becomes a member (a “Member”) by subscribing for the membership type(s) as provided within the Website of RHOC (“Membership”).

A Member must pay the relevant monthly Membership subscription fee by direct debit for the relevant Membership selected in advance (the “Membership Services”), in line with Published Prices and Rates to enable it avail of the Membership Services.

The types of Membership Services available for selection are published on the Website and are subject to variation for time to time by Equity Holdings.

Membership may be terminated at any time by the Member upon providing two months’ notice in writing to Equity Holdings, Membership may be terminated by Equity Holdings may upon providing one month’s notice to the Member, at the last address and / or email address provided by the Member to Equity Holdings, which shall be deemed sufficient service.

Membership will terminate (at the sole discretion of Equity Holdings) forthwith upon non-payment of the relevant monthly subscription fee.

Termination of Membership shall be without prejudice to any claim which Equity Holdings may have against the Member.

Each Member acknowledges and agrees in the context of their Membership:

1. That it is permitted to use the RHOC solely for the purposes specified in their Membership and / or to avail of those Services booked or used as a Booking Party or Non-Booking Party.

2. Not to attempt to deal with or dispose of the Membership or any other rights hereby granted which are purely personal to the Member.

3. Upon termination, the Member will immediately return all and any property or belongings of Equity Holdings to Equity Holdings (to include, but not limited to, any electronic key fobs).

Liability and Security

The Booking Party and Non-Booking Party and their respective invitees bear full responsibility and liability for their person and all their respective property and possessions (including that property or possessions of third parties which they have or permitted to be) brought onto and/or into RHOC.

The Booking Party and Non-Booking Party and their respective invitees bear full responsibility for appraising themselves of all fire exits within RHOC, and for all other notices pertaining to security,  health and safety or otherwise, as may be placed or located throughout RHOC.

RHOC and its facilities and equipment shall be treated with due care and respect, and upon vacating RHOC, the Booking Party and Non-Booking Party and their respective invitees shall remove all its / their property and belongings, leaving the premises or part thereof in a reasonably clean and tidy condition, without excessive refuse. The Booking Party shall be solely liable for any and all loss and expense to Equity Holding in this regard.

The Booking Party and Non-Booking Party shall respectively indemnity Equity Holdings, its servant, agents and invitees from and against all and any loss and damage to any property (of any party) in or on RHOC, and to any claims, demands and proceedings, death, disease, injury or any other liabilities which may occur by reason of any act, omission, negligence, default of respectively the Booking Party and / or the Non-Booking Party, and for their respective servants and/or agents and/or invitees and this provision will apply with respect to all and any equipment, shelving, furniture, furnishings and apparatus of these relevant parties or the state of repair or condition of such alteration and all and any equipment, shelving, furniture, furnishings and apparatus of these relevant parties.

Where the Booking Party and / or the Non-Booking Party, and for their respective servants and/or agents and/or invitees is more than one person or party, such indemnity herein is provided on a joint and several basis.

Equity Holdings and / or RHOC accepts no responsibility or liability for any loss or damage to persons or property or for any death, disease or injury, whether in contract, tort or statute, by reason of any act, omission, negligence or default.

Disruption of Business

Equity Holdings reserves the right to terminate (with immediate effect) any Services or Membership, acting reasonably, without compensation or refund, in the event that there is conduct by any party likely to cause or which causes a nuisance or disruption to its the business or other users of the RHOC.  Equity Holdings reserves the right to immediately remove and / or refuse admission to any such party  or their (or those of a third party) property and / or possessions in this regard.

Use/hire of Services:

Equity Holdings reserves the right to substitute Services, but it will only do so where the conduct of its business reasonably requires. If Equity Holdings is prevented from conducting business at the whole or a part of the RHOC as a result of any damage caused or threatened to the premises or any other event or circumstance outside its control, it shall be entitled to cancel the whole or a part of any Services and shall not be liable for any loss or expenses incurred as a consequence.

Applicable Law

The Booking Party and Non-Booking Party and all and any of their invitees shall at all times all comply with all and any obligations and/or conditions imposed under or by virtue of any laws (including common law), statutes, statutory instruments, directives, regulations, rules, regulations, codes, orders, decrees, judgments, consent decrees, settlement agreements, or other pronouncements, in each case having force of law and without prejudice to the generality of the foregoing, shall comply with and adhere to any Know Your Customer and / or Anti-Money Laundering requirements of Equity Holdings.

Governing law and Dispute Resolution

These terms and conditions shall be governed by and interpreted in accordance with laws of Ireland within the exclusive jurisdiction of the Courts of Ireland.

Variations

Equity Holdings reserves the right to amend the Terms and Conditions at any time. Since you, the user, are bound by these Terms and Conditions, you should periodically refer to them in this document and elsewhere on the Website. The Website will specify the latest date on which the Terms and Conditions have been amended or the applicable (latest) version.

Other Applicable Terms

These Terms and Conditions refer to the following additional terms, which also apply to your use of the Website:

  • Our Privacy Notice, which sets out the terms on which we process any personal data we collect from you or have access to, or that you provide to us. By using the Website, you consent to such processing and you warrant that all data provided by you is accurate.

  • Our Cookies Policy, which sets out information about the cookies on the Website.
